VLM Token Disclaimer
This notice concerns the stated intended purpose and legal context of VLM. It is not an offer, solicitation, or recommendation.
Purpose of VLM
VLM is intended as an ERC-20 utility token for metering specified protocol operations. Its intended function is operational, not investment-related. It does not represent equity, a claim on profits, a dividend, a debt obligation, an ownership right, or a right to participate in the management of Volum LLC or Bengala Technologies LLC.
Design intent regarding securities status
VLM is designed and described as a utility for protocol metering and not as a security or investment contract. Legal classification can depend on facts, conduct, marketing, distribution, jurisdiction, and regulatory interpretation. No statement on this site is a legal opinion or a representation that VLM has a particular status in every jurisdiction.
Availability constraints
Availability of VLM utility features may be subject to technical readiness, protocol conditions, eligibility controls, identity checks, sanctions screening, local law, and contractual terms. Volum LLC may not make any feature available in every country or to every person.
Not an offering
This website does not offer or solicit the purchase, sale, subscription, exchange, or transfer of VLM or any other asset. It is not a prospectus, offering memorandum, financial promotion, or solicitation in any jurisdiction.
No custody by Volum LLC of retail funds
Volum LLC does not state on this site that it receives, holds, safeguards, or manages retail customer funds or digital assets. Any future custodial or payment arrangement would require separate documentation and applicable compliance analysis.
Sanctions & AML
VLM-related access, where offered, is intended to be subject to applicable sanctions, anti-money laundering, counter-terrorist financing, and related compliance requirements. Restricted persons and restricted jurisdictions may be excluded or subject to access controls.
Patent-linked utility
The stated utility of VLM is protocol-metered. Protocol technology includes rights licensed exclusively to Volum LLC from Bengala Technologies LLC under US Patent 11,522,690 B2. The license relationship does not give a VLM holder any ownership, license, enforcement right, or interest in the patent.
Historical note
A legal memorandum dated 16 May 2019 addressing Howey factors exists on file as a historical record. It is not current legal advice, is not a legal opinion for a particular person or transaction, and should not be relied upon as a current jurisdiction-specific analysis.
